Terms of Service

These Terms of Service ("Terms") govern your use of the Tenacio application ("Service") operated by Spartan9 Pte Ltd ("Spartan9", "we", "us", or "our"), a company registered in Singapore. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Account Registration

To use Tenacio, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your password
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use of your account

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

2. Your Data

You retain full ownership of all content you create within Tenacio, including projects, tasks, time blocks, journal entries, reminders, and any other data you enter. We do not claim any intellectual property rights over your content.

You may export your data at any time in a portable format and delete your account and all associated data at any time. For details on how we handle your data, please refer to our Privacy Policy.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malicious code, viruses, or any harmful content
  • Attempt to gain unauthorised access to the Service, other accounts, or any related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any unlawful, fraudulent, or abusive purpose
  • Use automated tools (bots, scrapers, etc.) to access the Service without our written permission

4. Subscriptions and Payments

Tenacio offers a free trial period followed by a paid subscription. By subscribing, you agree to the following:

  • All payments are processed securely by Stripe. We do not store your credit card details.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds are handled on a case-by-case basis. Please contact us by email if you believe a refund is warranted.

5. Free Tier

After your trial period expires, if you do not subscribe, you may continue to use Tenacio with limited functionality. Free tier users are restricted in the number of projects they can create. We reserve the right to modify free tier limitations at any time.

6. Service Availability

We strive to keep Tenacio available at all times, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend the Service for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime where possible.

7. Intellectual Property

The Tenacio application, including its design, code, logos, and documentation, is the property of Spartan9 Pte Ltd and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose in accordance with these Terms.

You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service without our prior written consent.

8. Account Cancellation

You may cancel your account at any time from within the application. Upon cancellation:

  • Any active Stripe subscription will be cancelled immediately and no further charges will be made.
  • All of your data will be permanently deleted, including projects, tasks, time blocks, journal entries, reminders, domains, and activities.
  • This action is irreversible. We recommend exporting your data before cancelling.

We may also suspend or terminate your account if you violate these Terms, with or without notice.

9. Limitation of Liability

To the maximum extent permitted by law, Spartan9 Pte Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of data, loss of profits, or business interruption.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spartan9 Pte Ltd and its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
